Omegaconsulting GmbH advised the HÜBNER Group on the seller’s side during the structured sale process for GERSYS GmbH. AMiT Transportation has signed an agreement to acquire 100% of the shares in the specialist in on-board electronics for rail and special-purpose vehicles. GERSYS is to continue as an independent brand.
A key contribution from omegaconsulting was its combination of transaction expertise, in-depth industry knowledge, and a robust network within the electronics industry. This was made possible in particular by Jean-Claude Baumer’s many years of operational leadership and transformation experience in technology-oriented industrial companies, as well as the experience gained from successfully executed projects in the industry. This enabled the targeted identification of suitable strategic acquirers and their evaluation not only in terms of economic viability but also with regard to their technological, strategic, and cultural fit.
The omegaconsulting approach known as “People as Corporate Value” was also of particular importance . As part of the transaction support, a structured knowledge transfer process was therefore prepared and managed at an early stage. The goal was to systematically preserve business-critical knowledge—some of which was tied to specific individuals—and thereby support continuity for clients, employees, and the new managing director.
